Term Description
Prices and fees The fees agreed between EU & UK Data Ltd and the client for provision of online business services to the client. EU & UK Data Ltd reserves the right to alter our prices without notice.
Client / Customer The organisation or individual using EU & UK Data Ltd 's services found at http://ukdata.com or http://192.ukdata.com or http://companycheck.co.uk
Company reports and document images Documents, supplied to the client in any form, HTML or any otherwise EU & UK Data Ltd , along with associated opinions and scores, that the client orders.
Credit account An online account where the client receives reports and images on a prepaid credit account.
EU & UK Data service The collection of technology, know how and functionality that combine to implement the service described herein and referred to as http://ukdata.com
Server The computer(s), connected to the internet, that hosts the various components of EU & UK Data Ltd 's services functionality, and on which and from which these services are executed.
Order A single instance of a user specifying their preferences for document download, viewing online or printing, and requesting that the specified monitoring notification be dispatched at the correct times via email to the supplied email address.

Visitor A non-authenticated client or non-registered user or visitor to the website.
User An individual, usually identified by name and email address, who may create one or more orders.

Service Description

EU & UK Data Ltd 's service enables clients to order credit reports and company monitoring to web site visitors, and others, for delivery by internet and email. Upon receipt of an order we will perform the required data gathering and delivery and subsequently issue the client with instructions to use the website. Software on the server then creates the report and sets up the monitoring requirement to be delivered to an internet email addressed to the email address supplied by the user. The purchaser accepts that they will not publish, modify, resell or share this information with any other party and also accepts the terms set out in EU & UK Data Ltd 's Refund Policy and Privacy Policy.

The details of the order are recorded on the server. Credit card details are NOT saved on our servers. The order details are retained on the EU & UK Data server and made available to the client via the EU & UK Data reporting system.

Some user emails are returned to the server marked as undeliverable to the user. The most common reasons for this are that either the user's email box is full (i.e. disk quota exceeded), or the data size of the email is larger than a fixed limit of the user's system. EU & UK Data Ltd 's services regularly checks for such returned undeliverable emails and, when received, attempts to identify the order in question.

User generated Content

EU & UK Data Ltd 's service enables visitors to submit additional information about a company when they are a Director, shareholder or duly authorised representative. This includes and is not limited to, a Directors statement, supplier references, linkages between companies or any other information made available to us to improve the information on a particular company. In doing so, all visitors and above representatives agree that they will not publish, modify, resell or share this information with any other party and also accepts the terms set out in EU & UK Data Ltd 's Privacy Policy.

The Client or Visitor agrees to indemnify, defend and hold EU & UK Data Ltd, subsidiaries, affiliates, officers and employees harmless from any loss, cost, damage, claim or demand, including reasonable legal fees, made by any third party or incurred or suffered by EU & UK Data Ltd or its parents, subsidiaries, affiliates, officers or employees in connection with the Customer’s use of the Service in breach of this Agreement.

Companies registered outside of the United Kingdom, including Europe and Worldwide

Delivery

Reports ordered via our offline service usually take between 24 hours and 10 working days to produce and will be uploaded into the internationals section of your 'My Account' area. An estimated delivery date is provided within your account area. Please note - this is an estimate only. Since we rely on overseas agents to carry out the necessary research on companies outside of the UK, unexpected delays are out of our control. Where possible we will endeavour to deliver reports before the estimated due date.

Availability and Content

Company Credit Reports on companies registered outside of the UK are provided on a subject to availability basis, and the countries from which reports are available may vary throughout the course of the term of this Agreement.

As business information experts we strive to provide the highest standards of quality, therefore please be aware that the level of information within our international reports is dependent on the filing requirements of the country in which the business is registered. As the content of the reports is beyond our control we are unable to guarantee that it will be comparable to our domestic UK credit reports. Please take this into account before placing your order as we are unable to offer a refund on international reports ordered.

Where possible we will endeavour to provide a sample report typical of what is available in any given country. This is intended to advise what may available, but does not guarantee that a particular company will have filed the same level of information in order to compile a report. Please also note that in some countries there is no requirement to file financial and company owner information. If you have any questions please contact us for further information.

Service Level Agreement

We agree to supply EU & UK Data Ltd 's services to the following service level:

Service availability

Our aim is for the server to be available for the recording and processing of orders 24 hours a day, 7 days a week, each day of the year. From time to time the EU & UK Data server may be unavailable, or unable to record and process orders, for reasons within our control (i.e. scheduled maintenance) or beyond our control (e.g. unscheduled maintenance, hardware failure, malicious attack).

During periods of scheduled unavailability, and if possible to do so, the server will display an appropriate message to users if an attempt is made to use the website.

We will take whatever steps we believe reasonable to avoid unavailability for reasons beyond our control, including locating the server in a secure data centre with high capacity internet connections, and contracting for continuous monitoring and support with our chosen supplier for these services, but we do not guarantee such unavailability will not occur. No refund or compensation is available for any reason should the service being unavailable for any time.

Backups – Schedule and Order Data Availability

Once in every 24 hour period we will take a back up from the EU & UK Data server of all order data, and remove the backup to a separate physical location from the EU & UK Data server. In the event of a partial or complete restore from backup of order data becoming necessary, we will do so within one working day of the necessity becoming apparent to EU & UK Data Ltd , from the most recent valid backup available.

The website service enables clients to download pre-ordered reports and document images from the server at any time of the client’s choosing and thereby to save a copy at a location of the client’s choosing. Client’s who attach commercial value to their order data are advised to ensure this is performed regularly. We do not guarantee availability of historic order data. We disclaim any liability for any monetary value clients attach to order data or for that data's lack of availability from the website service.

Technical Support – Acknowledgement and Actions Taken

Clients may request technical support at any time by telephone or email. We will publish telephone numbers and email addresses for this purpose. During a working day, we aim to acknowledge, by telephone or email, the client’s request within 30 minutes of receipt. Outside of the working day we will acknowledge the client’s request, at the latest, within 45 minutes of commencement of the next working day.

Upon acknowledgement we will immediately assess the request and its effect on EU & UK Data Ltd 's services and take action based on the result of our assessment according to the following table:

Issue will be scheduled for resolution in the next maintenance upgrade of EU & UK Data Ltd 's services. Client informed of this decision and notified when the upgrade is completed.
Issue has no effect on the current or future effectiveness or availability of EU & UK Data Ltd 's services. No further action taken, client informed accordingly.

Customer Obligations

Credit Reports are provided solely for the Customer's own use within the United Kingdom and Republic of Ireland. The customer may not sell, transfer, sublicense, distribute, commercially exploit or include the service and/or product in any service or product that the customer sells.
