Accounts filing requirements and legal obligations
All Singapore companies, unless dormant, are required to
file audited or unaudited accounts. Financial accounts consist
of Profit and Loss Account and Balance Sheet, filed annually in
accordance with Singapore“s Financial Reporting Standards
(FRS) framework.Whether a company needs to file audited or
unaudited accounts depends on the following criteria:
- Exempt private companies with turnover of less than SGD5
million can file unaudited accounts. An exempt private
company is a company that has less than 20 shareholders and
its shares are not held by another company. Most small and
medium sized companies come under this category.
- All other companies are obliged to file audited accounts,
prepared in compliance with FRS framework and must be
accompanied by the Directors Report and Statement by
Directors.
