Accounts filing requirements and legal obligations
The following companies are obliged to prepare and publish
their annual accounts:
- all companies limited by shares, i.e. all public limited
liability companies and partnerships limited by shares and
above all also all private limited liability companies
- cooperative societies
- partnerships without a natural person as a personally
liable partner (these are mainly private limited liability
companies and limited partnerships but also general
partnerships with a company limited by shares as a personally
liable partner)
- branches of certain foreign companies limited by shares,
above all limited companies
- companies which are legally obliged to publish their
annual accounts (these are companies - e.g. large retailers -
which have met 2 of the 3 criteria specified below for 3
consecutive financial years: balance sheet total of more than
65 million euro, turnover of more than 130 million euro,
average of more than 5,000 employees)
- irrespective of their legal form, credit institutions,
institutions which provide financial services, insurance
companies and pension funds.
Small companies limited by shares are those which exceed no
more than one of the three criteria specified below:
- balance sheet total: 4,015,000 euro
- turnover: 8,030,000 euro
- annual average of 50 employees.
Small companies only have to file and publish a balance
sheet and notes (without a profit and loss account).
Medium-sized companies limited by shares are those which
exceed at least two of the three criteria specified under 1 but
exceed no more than one of the three criteria specified
below:
- balance sheet total: 16,060,000 euro
- turnover: 32,120,000 euro
- annual average of 250 employees.
Medium-sized companies must file the following
documents:
- annual accounts with auditor’s report
- management report
- report by the supervisory board (if the company has
one)
- proposal and decision regarding the appropriation of the
result
- declaration of compliance with the Corporate Governance
Codex in accordance with § 161 of the Companies Act
(listed public limited liability companies or partnerships
limited by shares).
Large companies limited by shares are those which exceed at
least two of the three criteria specified under 2. In addition,
there are also various special rulings, always obliged to
publish their annual accounts in accordance with the
stipulations for large companies:
- A company limited by shares is always regarded as large
if it is active in an organised market
- Capital market-oriented companies are always regarded as
large
- Credit institutions or institutions which provide
financial services
Large companies must file the following documents:
- annual accounts with auditor’s report
- management report
- report by the supervisory board (if the company has
one)
- proposal and decision regarding the appropriation of the
result
- declaration of compliance with the Corporate Governance
Codex in accordance with § 161 of the Companies Act
(listed public limited liability companies or partnerships
limited by shares).
